End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Seripap LLC (“Licensor”), operating as Builds.org, Seripap Software Company, and Relay. This Agreement governs your use of any software application published by Seripap LLC (“Application”). By downloading, installing, or using any Application, you agree to be bound by this Agreement.

1. Grant of License

Subject to the terms of this Agreement, Seripap LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on devices that you own or control, solely for your personal or internal business purposes.

2. License Restrictions

You agree that you will not:

• License, sell, rent, lease, transfer, assign, distribute, or otherwise make the Application available to any third party
• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Application
• Remove, alter, or obscure any proprietary notice, label, or marking on the Application
• Use the Application for any purpose that is unlawful or prohibited by this Agreement
• Use the Application in any manner that could damage, disable, overburden, or impair any Seripap LLC server or network

3. Modifications to the Application

Seripap LLC reserves the right to modify, suspend, or discontinue the Application, or any part thereof, at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Application.

4. Updates

Seripap LLC may from time to time provide updates, patches, or new versions of the Application. Updates may modify or remove features. We are under no obligation to provide any updates or to continue supporting any particular version of the Application.

5. Ownership

The Application, including all copies, modifications, and derivative works, is the intellectual property of and is owned by Seripap LLC. This Agreement does not grant you any ownership interest in the Application, but only a limited right of use revocable in accordance with these terms. All rights not expressly granted are reserved.

6. Your Content

The Application may allow you to work with files, databases, and other content. All such content remains yours. Seripap LLC does not claim ownership of your content and does not access, collect, or transmit it. You are solely responsible for maintaining backups of your data.

7. Privacy

Your use of the Application is subject to our Privacy Policy. By using the Application, you consent to the collection and use of information as described therein.

8. Term & Termination

This Agreement is effective from the date you first use the Application and continues until terminated. You may terminate this Agreement at any time by uninstalling the Application and destroying all copies in your possession.

Seripap LLC may terminate this Agreement at any time if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and destroy all copies. Sections regarding ownership, disclaimers, limitations of liability, and indemnification shall survive termination.

9. Disclaimer of Warranties

The Application is provided “as is” and “as available” without warranty of any kind. Seripap LLC expressly disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Application will meet your requirements or that its operation will be uninterrupted or error-free.

10. Limitation of Liability

In no event shall Seripap LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of data, loss of profits, business interruption, or any other commercial damages or losses, arising out of or related to your use or inability to use the Application. In no event shall our total aggregate liability exceed the amount you paid for the Application in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Seripap LLC and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Application or violation of this Agreement.

12. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

13. Amendments

Seripap LLC reserves the right to amend this Agreement at any time. For material changes, we will make reasonable efforts to provide notice (such as updating the date at the top of this page). Your continued use of the Application after changes are posted constitutes acceptance of the amended Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law provisions.
