These Terms of Service (“Terms”) govern your use of the websites, applications, and services provided by Seripap LLC (“we”, “us”, or “our”), operating as Builds.org, Seripap Software Company, and Relay. By accessing or using our products, you agree to be bound by these Terms.
1. General
You must be at least 13 years of age to use our services. By using our products, you represent that you meet this requirement. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if these Terms are violated.
2. License & Permitted Use
Subject to these Terms and any applicable license agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use our software for personal or internal business purposes. You may not:
- Copy, modify, distribute, sell, or lease any part of our software
- Reverse engineer, decompile, or disassemble any part of our software
- Use our software for any unlawful purpose or in violation of any applicable laws
- Remove, alter, or obscure any proprietary notices or labels on the software
- Sublicense, rent, or lend access to the software to third parties
3. Your Data
Our applications are designed to operate locally on your device. You are solely responsible for your data, including maintaining backups. We do not access, store, or transmit your files, database credentials, or connection information. You assume full responsibility for the integrity and security of your data.
4. Purchases & Refunds
Certain features of our software may require the purchase of a license. All payments are processed by Stripe and are subject to Stripe’s terms of service and privacy policy. We offer free trial periods so you can evaluate our software before purchasing. All sales are final and no refunds will be issued. By completing a purchase, you acknowledge that you have had the opportunity to fully evaluate the software during the trial period.
5. Intellectual Property
All content, trademarks, code, designs, and other intellectual property associated with our products remain the exclusive property of Seripap LLC. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.
6. Third-Party Services
Our products may contain links to or integrate with third-party websites or services. We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.
7. User Conduct
You agree not to:
- Use our services to transmit harmful code, malware, or unsolicited communications
- Interfere with or disrupt the integrity or performance of our services
- Attempt to gain unauthorized access to our systems or networks
- Use our services in any way that infringes the rights of others
8. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimer of Warranties
Our software and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our software will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, Seripap LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of our products. In no event shall our total liability exceed the amount you paid us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Seripap LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our products or violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Your continued use of our products after changes are posted constitutes acceptance of the revised Terms.
